These Terms of Service (“Terms”) are an agreement between you and Kounterr (“we”, “us”), a Udyam-registered enterprise (Udyam Registration No. UDYAM-BR-29-0038785) with its registered office at Maa Gayatri Sewa Sadan, Nariyar Road, Naya Bazar, Saharsa, Bihar 852201, India. They govern your use of the Kounterr website (kounterr.com), the Kounterr application (app.kounterr.com), and every service we provide through them (together, the “Service”).

By creating an account or using the Service, you accept these Terms on behalf of yourself and the business you represent. If you do not agree with them, please do not use the Service.

Kounterr is a software-as-a-service (SaaS) point-of-sale and business management platform built for Indian retail businesses — orders, GST invoicing, inventory, payments tracking, and customer order updates, all from one screen.

You need an account to use the Service. You agree to provide accurate information (including your business name, GSTIN, and contact details where applicable) and to keep it current. You are responsible for all activity under your account and for keeping your credentials secure.

• You must be at least 18 years old and authorised to act for the business you register.
• Staff accounts you create are your responsibility — each staff member should use their own login.
• Tell us immediately at support@kounterr.com if you suspect unauthorised access to your account.

Kounterr offers a Free plan and paid subscription plans. Current plans, prices, and included features are published on our pricing page and inside the app’s billing section. Prices are in Indian Rupees (INR), and the price shown is the full amount you are charged — nothing is added at checkout.

Taxes. Kounterr is currently not registered under GST: at our present turnover, registration is not required — service providers with aggregate turnover up to ₹20 lakh are exempt under Section 22 of the CGST Act, 2017 read with Notification No. 10/2017 – Integrated Tax (13 October 2017). Accordingly, no GST is charged on subscriptions and subscription invoices are not tax invoices under GST. If we become GST-registered in future, we will give you notice and any tax will be shown at checkout before you pay.

New accounts receive a one-time 15-day free trial of paid features, starting at signup. No card is required for the trial. When the trial ends, paid features pause until you subscribe — your data remains safe and you can continue on the Free plan or upgrade at any time. The trial is offered once per business account.

We may change plan prices or features from time to time. Price changes never apply retroactively to a period you have already paid for, and we will give you reasonable advance notice before a change affects your renewal.

Paid plans are recurring subscriptions billed through Razorpay, our payment partner. When you subscribe, you authorise a recurring payment mandate (for example via UPI Autopay or card, as supported by Razorpay), and your plan amount is charged automatically each billing cycle until you cancel.

• The amount, plan name, and billing cycle are shown at checkout before you authorise anything.
• Upgrades take effect immediately; downgrades take effect from the next billing cycle.
• If a renewal charge fails, Razorpay may retry it. If payment cannot be collected, your account may be moved to the Free plan or paused until payment is resolved. Your data is not deleted because of a failed payment.
• Kounterr never stores your card, UPI, or bank details — payment credentials are handled entirely by Razorpay. See our Privacy Policy.

Cancellation and refunds are described in our Refund & Cancellation Policy, which is part of these Terms.

You agree to use the Service only for lawful business purposes. You must not:

• use the Service to issue false, misleading, or fraudulent invoices;
• upload content or data you do not have the right to use, or that infringes anyone’s rights;
• attempt to probe, disrupt, or overload the Service, or access another business’s data;
• reverse-engineer, resell, or white-label the Service without our written permission;
• use the Service to send spam or unlawful communications.

We may suspend or terminate accounts that violate these rules, with notice where practicable.

Everything you put into Kounterr — products, orders, invoices, customers — belongs to you. You grant us only the limited licence needed to host, process, back up, and display that data in order to run the Service for you.

• You can export your business data (orders, invoices, customers) to CSV from the app, or request an export at support@kounterr.com.
• If you cancel, your records remain available read-only for 90 days, after which they are deleted. No hostage tactics.
• Your data is logically isolated from every other business’s data, enforced at the database level, and backed up daily.

Your customers’ data (names, phone numbers, addresses you record) is yours to manage: you confirm you have the right to store it in Kounterr and to share order-tracking links with them. We process it only on your instructions, as described in the Privacy Policy.

Kounterr helps you generate GST-compliant invoices and reports, but you remain responsible for your own tax compliance — the accuracy of your GSTIN, HSN codes, tax rates, filings, and returns. Kounterr is a tool, not a chartered accountant, and nothing in the Service constitutes tax or legal advice.

We work hard to keep Kounterr fast and available, including during the hours Indian shops actually run. Still, the Service is provided “as is” and “as available” — we do not guarantee uninterrupted or error-free operation, and scheduled maintenance may occasionally pause the Service.

We continuously improve Kounterr and may add, change, or retire features. If a change materially reduces what your paid plan includes, we will tell you in advance and you may cancel under the Refund & Cancellation Policy.

To the maximum extent permitted by law, Kounterr’s total liability arising out of or relating to the Service is limited to the greater of ₹1,000 or the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential losses — including lost profits, lost data caused by factors outside our control, business interruption, or penalties arising from your own tax filings.

Nothing in these Terms limits liability that cannot be limited under Indian law, including liability for fraud or wilful misconduct.

You can stop using Kounterr and cancel your subscription at any time from the app’s billing page. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your account remains unpaid after the processes described above — with notice where practicable.

On termination, the data-retention commitments in “Your data stays yours” apply: 90 days of read-only access to export your records, then deletion.

These Terms are governed by the laws of India. Subject to any mandatory consumer-protection rights you hold, the courts at Saharsa, Bihar, India have exclusive jurisdiction over disputes arising from these Terms or the Service. We would genuinely rather solve the problem first — write to us before anything else.

We may update these Terms as the Service evolves. For material changes we will notify you by email or in-app before they take effect; continuing to use the Service after that means you accept the updated Terms. The “Last updated” date at the top always reflects the current version.
